At a Glance:

Seth A. Weinstein is a Senior Associate in the firm’s Real Estate Development & Finance Department.   He concentrates his practice on residential and commercial real estate transactions, commercial leasing, real estate financing and environmental law.   In addition to standard real estate transactions, evictions and housing court matters and finance and leasing transactions, Mr. Weinstein has also assisted clients with 1031 Exchanges, Loan Defeasance payoffs, applications to New York State for admission into the Brownfield Cleanup Program and a wide array of other legal matters.

Representative Matters:

  • Represented various financial institutions in connection with commercial mortgage and asset-based loans and construction loans. Issued commitment letters, reviewed borrower’s due diligence, prepared loan documents and "closed" loan.
  • Represented borrowers involved with real estate purchases, real estate refinances, business improvement loans and construction loans.  Reviewed lender's commitment letter, prepared information required by lender for funding, negotiated loan documents and "closed" loan.
  • Represented buyers and sellers of apartment and office complexes.  Drafted, negotiated, administered and completed purchase and sale agreements, prepared deed documents and reviewed title information.
  • Represented buyers and sellers of hotels, motels, microtels and mobile home parks. Drafted, negotiated, administered and completed purchase and sale agreements, prepared deed documents and reviewed title information. 
  • Represented people buying, selling and refinancing residential property.
  • Represented buyers and sellers relative to asset and equipment purchases and sales, including acquisition of equity interest in an existing company.
  • Represented commercial property owners throughout New York State in commercial leasing matters.  Drafted and negotiated leases from a landlord’s perspective (gross, triple net, multi-unit, sole tenancy, etc.).
  • Represented tenants negotiating commercial leases with landlords.  Drafted and negotiated leases from a tenant’s perspective (gross, triple net, multi-unit, sole tenancy, etc.).
  • Successfully prepared and submitted New York State Brownfield Cleanup Program application to New York State Department of Environmental Conservation.
  • Advised clients relative to the formation of business entities such as corporations, limited liability companies and partnerships.
  • Advised clients relative to general legal matters.

Mr. Weinstein is admitted to the New York State and Monroe County Bar Associations.

Mr. Weinstein is a member of the Monroe County Bar Association where he is currently serving as the Chair of the Real Estate Section Council and he is a member of the New York State Bar Association.

He is also an affiliate member of the New York State Commercial Association of Realtors.

Other:

Mr. Weinstein received the Charles Dautch Award for Excellence in Real Property Law from the University of Buffalo Law School.  He published "The Use of Letters of Intent in Commercial Real Estate Transactions" in the Woods Oviatt newsletter and "From Contract to Closing: The Legal Path to Buying or Selling a Home" in the legal section of a website for a local Rochester television channel.  Mr. Weinstein has presented numerous Continuing Legal Education seminars on various topics including residential real estate transactions, environmental law and commercial leasing.
