Sean Jensen is an associate in the Business & Finance Department. Sean concentrates his practice in the areas of mergers & acquisitions, corporate law & governance, corporate finance and securities law.  He has represented companies in public offerings, private placements, mergers and acquisitions and has advised companies with respect to periodic reporting, disclosure and compliance with SEC and exchange regulations. He has also represented clients in a broad range of securities transactions, including debt offerings, equity offerings, exchange offers, tender offers and IPOs. Prior to joining Woods Oviatt Gilman LLP, Sean was an associate at Goodwin Procter LLP in Boston, MA and Sullivan & Cromwell LLP in New York, NY.

Representative Matters:

  • Represented closely-held companies in acquisitions and divestitures of businesses and business divisions.

 

  • Represented business owners in the sale of businesses and the related employment arrangements.
  • Represented mutual holding company bank in IPO in connection with its conversion to a stock holding company.
  • Advised public companies concerning periodic reporting, Section 16 filings, corporate governance and SEC confidential treatment requests.
  • Represented investment manager and advisor in acquisition of strategic environmental consultancy.
  • Represented designated underwriters in connection with shelf securities of public holding company of leading investment bank.
  • Represented REITs in connection with Rule 144A offerings of exchangeable senior notes, public offerings of common stock and tender offer for two series of bonds.
  • Represented underwriters in IPO of cardiology instrument system designer/manufacturer.
  • Represented lead placement agent in common stock PIPE transaction of semiconductor manufacturer.

Mr. Jensen is a member of the Corporate Advisory Board of the Memorial Art Gallery.
