Robert Mechur is a partner in the firm’s Business & Finance Department. He represents both privately held companies and smaller public companies. He practices general corporate law, with special emphasis on public and private securities transactions, corporate finance (both equity and debt), and mergers and acquisitions. He advises the firm’s public and privately held clients with respect to corporate governance matters, which, in the case of public companies, includes compliance with the Sarbanes-Oxley Act of 2002. He represents privately held companies in connection with their organization, financing and shareholder matters.
Before joining Woods Oviatt Gilman LLP, Mr. Mechur was a partner with Boylan, Brown, Code, Vigdor & Wilson, LLP. Prior to that he was the Senior Vice President and General Counsel for Applied Theory Corporation (Nasdaq: ATHY), a provider of e-business solutions (including Internet access, website development and hosting). He began his career with the New York City firm of Milbank, Tweed, Hadley & McCloy and was a longtime partner in the firm of Underberg & Kessler, LLP, Rochester, New York (1972-2000), where he served as managing partner from 1989-1992. Mr. Mechur also helped found and served as the President of Omnicad Corporation (1984-’87), a software development company in which AT&T and several national venture capital firms were major investors.

Mr. Mechur is a member of the Executive Committee of the Rochester Downtown Development Corporation. He is a former chairman of the Rochester Venture Capital Group. He is active in the Upstate Venture Association of New York, which he helped form. He has been a director of The Little Theater Film Society, Inc., and has been active in High Technology of Rochester, Inc.; Ronald McDonald Children’s Charities; and the United Way of Greater Rochester.

Mr. Mechur is admitted to practice before the U.S. Court of Appeals, Second Circuit; the U.S. District Court, Southern District of New York; and the U.S. District Court, Western District of New York.
Professional Affiliations:
Mr. Mechur is a member of the New York State Bar Association. He frequently lectures on corporate and securities matters.
