Our attorneys provide experience and sound counsel to venture capital firms, angel investors as well as issuers in private equity transactions.  We frequently work with venture capital firms in analyzing investment opportunities and assisting with structuring equity and debt financing transactions.   

Our practice includes:

• drafting and negotiating equity purchase agreements;

• shareholders agreements;

• certificates of incorporation;

• and other ancillary transaction documents to effect private equity and venture capital investments. 

While representing issuers, our attorneys are engaged in assisting clients in structuring the capitalization of companies and negotiating with equity and debt providers in all aspects of an issuer’s capital structure including the terms and conditions of the securities offered. We pride ourselves in understanding the importance of properly structuring private equity transactions from both the issuers and the investors’ standpoint, and, in doing so, focus on understanding each party’s expectations and protecting our clients against the unexpected.   We have assisted angel investors and venture capital firms in both minority and control transactions.
