Larry Kallaur is Special Counsel in the firm's Business & Finance Department. His practice is concentrated on corporate finance, securities law and mergers and acquisitions. He has represented issuers in initial and follow-on public securities offerings and in private placements of securities to friends and family, angel investors and venture capital funds. He advises public companies on SEC reporting obligations, proxy solicitations and stock exchange listing requirements. He has represented public and private companies, private equity funds and selling shareholders in a variety of acquisition transactions, including tender offers and management and leveraged buyouts. He has represented venture capital funds and mezzanine lenders in financing transactions. He advises founders and start-up companies on organizational matters and also represents companies on other general corporate and commercial matters.
Larry is a graduate of the University of Rochester (B.A, 1989) and received his law degree cum laude from Fordham University School of Law (J.D., 1999).
